3.1 Email-Based Delivery

Our Service does not require account creation. You provide your email address when submitting an idea, and reports are delivered via email and accessible through unique URLs.

3.2 Age Requirement

You must be at least 18 years old to use our Service.

4.1 Permitted Use

You may use our Service only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Uses

You may not:

• Submit content that is illegal, harmful, or violates third-party rights
• Attempt to bypass security measures or rate limits
• Reverse engineer or scrape our Service
• Use our Service to generate misleading investment materials
• Resell or redistribute reports without our written consent
• Violate any applicable laws or regulations

5.1 Submission Rights

You represent that you have the right to submit the idea descriptions, market data, and competitor information you provide.

5.2 AI Processing

Your submissions are processed by third-party AI providers (currently Anthropic Claude) to generate analysis reports. By using the Service, you consent to this processing.

5.3 No Guarantee of Accuracy

Our reports are generated by AI and are intended as a thinking tool, not professional advice. While we strive for useful and insightful analysis, we cannot guarantee 100% accuracy of market data, predictions, or recommendations. You should not rely solely on our reports for business decisions.

5.4 Retention

Reports are stored and accessible via unique URLs. You may request deletion at any time by contacting us.

6.1 Free and Paid Reports

Stage 1 (Market Reality Map) is provided free of charge. The full 5-stage stress-test report requires a one-time payment.

6.2 Payment Processing

• All payments are processed by Paddle.com, who acts as our Merchant of Record
• Paddle handles all billing, invoicing, sales tax, and VAT compliance on our behalf
• Prices are displayed in your local currency where supported by Paddle
• By completing a purchase, you also agree to Paddle's Checkout Buyer Terms

6.3 Refunds

All payments are processed by Paddle.com, who acts as our Merchant of Record. Refund requests are subject to the following terms:

• Eligibility: You may request a refund within 14 days of your purchase if the report has not been delivered or is materially defective
• Request Deadline: Refund requests must be submitted within 60 days of the transaction date
• Processing: All refunds are processed by Paddle and are subject to their discretion

To request a refund, please contact our support team at support@clouxart.com or submit a request through Paddle's buyer support.

7.1 Our Property

All Service content, features, functionality, design, and branding are owned by Clouxart LTD and protected by intellectual property laws.

7.2 Your Content

You retain ownership of the ideas and information you submit. By using our Service, you grant us a limited license to process your submissions for the purpose of generating analysis reports.

7.3 Report Usage

Reports generated for you are for your personal or internal business use. You may share reports with co-founders, investors, or advisors, but may not resell or publicly redistribute them without our written consent.

9.1 Service Availability

We do not guarantee uninterrupted or error-free service. AI processing may occasionally be unavailable due to third-party provider issues.

9.2 Analysis Reports

Our reports are provided "as is" without warranties of any kind. The analysis is AI-generated and should be treated as one input among many in your decision-making process. We are not liable for business decisions made based on our reports.

9.3 Third-Party Services

We are not responsible for third-party services including AI providers, payment processors, or email delivery services.

12.1 By You

You may stop using the Service at any time. You may request deletion of your data by contacting us.

12.2 By Us

We may refuse service or block access for violations of these Terms, abusive behavior, or any other reason at our discretion.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Existing report URLs may be deactivated.

14.1 Informal Resolution

We encourage resolution through our support team first at support@clouxart.com.

14.2 Arbitration

Unresolved disputes will be settled through binding arbitration in accordance with the rules of the London Court of International Arbitration.

14.3 Class Action Waiver

You waive the right to participate in class actions or class-wide arbitration.

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clouxart LTD regarding the Service.

16.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.

16.3 No Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms without our prior written consent.
